Welcome to Ayanex. By engaging our services, you agree to the following terms, which are designed to ensure a transparent, secure, and high-performance partnership.
1. Scope of Services
Ayanex provides a dual-force service model:
- Digital Marketing & Creative: Including Web Design, SEO, Social Media Management, and Campaign Strategy.
- Business Process Outsourcing (BPO): Including 24/7 Customer Support, Ledger & Accounting, Inventory Management, and Lead Generation.
2.Financial Terms
- Monthly Retainer: Unless otherwise stated in a specific Statement of Work (SOW), our standard service tier is billed at a flat monthly retainer of $2,899.
- Billing Cycle: Invoices are generated on the 25th of each month for the upcoming month’s service.
- Payment Deadline: Full payment is due by the 1st of the month. Delayed payments may result in a temporary suspension of BPO operations and digital campaigns.
3. Term and Termination
We believe in results over long-term “lock-in” contracts, but operational stability is key for BPO:
- Service Period: Services are provided on a month-to-month basis.
- Cancellation: Either party may terminate the agreement with a 30-day written notice. This ensures a smooth transition of data, credentials, and ongoing customer support tickets.
4. Confidentiality & Data Security (The NDA Clause)
Given the sensitive nature of BPO services (Ledger, Accounting, and Vendor Management):
- Mutual Non-Disclosure: Both parties agree to protect all “Confidential Information,” including operational workflows, financial data, and proprietary marketing strategies.
- Data Integrity: Ayanex employs industry-standard security protocols to handle client data. Client retains 100% ownership of their data and customer lists.
5. Intellectual Property
- Work Product: Upon full payment, all creative assets, website code, and marketing materials created by Ayanex for the Client become the Client’s property.
- Third-Party Tools: Any third-party software or platform licenses (e.g., Semrush, CRM tools, or Shopify) are the responsibility of the Client unless explicitly managed under the Ayanex retainer.
6. Client Responsibilities
For us to “Turn Ideas into Impact,” the Client must provide timely access to necessary accounts (Social Media, Hosting, Financial portals) and approvals within 48-72 hours to maintain project velocity.
7. Limitation of Liability
Ayanex acts as a strategic partner. While we strive for maximum ROI and 24/7 uptime in BPO services, we are not liable for indirect losses, data loss caused by third-party platforms, or fluctuations in search engine algorithms.
